|Software License Agreement|
|The following license agreement is included with both the CD-ROM and the download versions of Portfolio Professional - Personal Edition.|
|NOTICE TO USER: THIS IS A LEGAL AGREEMENT BETWEEN YOU AND SIRONIX INC.
It is important that you read this document before using the enclosed Software (the "Software"). It is a legal document between you (the "User") and Sironix Inc. ("Sironix"). By using the Software, you agree to be bound by the terms of this Agreement. If you do not agree to the terms of this Agreement, promptly return the product, if applicable, and destroy all copies thereof.
License: Sironix Inc. hereby grants you a non-exclusive, non-transferable, limited license to use the Software with compatible equipment. It is a single-user license for use on a single computer in a single location. Any copying of the Software other than for backup purposes is strictly prohibited. The User may not loan, sell, lease, distribute or transfer the Software or copies or parts thereof, nor reverse engineer or otherwise attempt to discern the source code of the Software.
Copyright and Ownership: Title to the Software and Documentation are not transferred to the User. The Software and Documentation are owned by Sironix, and are protected by United States and Canadian copyright laws and international treaty provisions. You acquire only the right to use the Software and Documentation and do not acquire any rights of ownership in the Software and Documentation or the media on which they are provided.
Limited Warranty: Sironix warrants that the medium upon which the Software is provided to the User shall be free of defects in material and workmanship under normal use for a period of 90 days from the date of the User's receipt thereof. In the event of a failure to meet the foregoing limited warranty, your sole remedy at the discretion of Sironix, shall be replacement of the defective materials or a refund of fees paid for the affected Software. This limited warranty gives you specific legal rights. You may have other rights, which vary among states/provinces. Additional warranty rights may also be offered at the time of purchase.
Liability and Disclaimer: The performance of the Software varies with various manufacturers' equipment with which it is used. Sironix does not represent that the Software or the functions contained in the Software will meet your requirements, operate without interruption or be error free. The User bears all risk relating to quality and performance of the Software. In no event will Sironix be liable for any loss of profits or damages, including direct, indirect, incidental, special, consequential or any other type of damages arising out of the use of the Software, even if Sironix has been advised of the prior possibility of such damages.
General Provisions: This Agreement constitutes the complete Agreement between the parties with respect to the Software and is governed by the state of California if the User is located in the United States, and by the laws of the province of Ontario if the User is located in Canada. This Agreement supersedes any prior understanding or agreement, oral or written, relating to the Software, unless such terms have been officially authorized in writing by Sironix at the time of your purchase. If any provision of this Agreement is held to be unenforceable, such provision shall be limited, modified or severed as necessary to eliminate its unenforceability, and all other provisions shall remain unaffected.
Term of Agreement: The User may terminate this Agreement by ceasing all use of the Software and destroying all copies thereof. Sironix may terminate this Agreement if the User commits a material breach hereof. Upon any termination of this Agreement, the User shall cease all use of the Software, destroy all copies thereof then in its possession and take such other actions as Sironix may reasonably request to ensure that no copies of the Software remain in its possession.
